(Clients & Collaborators)
Applies to all paid and unpaid collaborations with Starhopper.
This page is contractual and forms part of the Terms; each engagement is finalized via a signed MoU/SOW.

Who we are
Starhopper Studio LLP, a trans-led film & media studio. We work inclusively by design.
 

Engagement Flow
Discovery → Proposal → MoU/SOW → Advance → Work starts.
MoU/SOW states scope, deliverables, usage rights, timelines, milestones, crews, and fees/expenses. Work begins only after both-sides signature and advance receipt.
 

Confidentiality & NDA
We protect confidential information; a mutual NDA is available on request. Sharing is limited to need-to-know teams and vetted vendors. We adopt reasonable administrative/technical safeguards.
 

Fees, Taxes & Payment Terms
    Advance to commence: [30% advance] (unless MoU/SOW states otherwise).
    Milestones: balance tied to production/post milestones or delivery.
    GST/TDS: GST as applicable. If you deduct TDS, share the certificate within statutory timelines.
    Late payments: 1.5% per month (18% p.a.) from due date; work may pause and deliverables be withheld until dues clear.
    Methods: bank transfer/UPI/authorized links. We do not store card/UPI credentials.

Changes, Approvals & Timelines
    Change Orders document material scope changes with revised fees/schedule.
    Client approvals at milestones are binding; feedback delays extend timelines.
    Dependencies (locations, permits, talent availability) can affect schedules despite best efforts.

Deliverables, Formats & Acceptance
    Delivery formats/specs are per MoU/SOW (e.g., ProRes/MP4, stills, captions).
    Deliverables are deemed accepted unless scope-related issues are raised within 7 days of delivery.

Archiving
We retain project files for [120 days] after final delivery unless agreed otherwise; long-term storage is available at cost.
 

IP & Usage
Unless otherwise agreed, ownership/license transfers occur on full & final payment. Usage is limited to the media/territory/term specified in the MoU/SOW. Third-party assets (music, fonts, stock, plugins) remain under their licenses.
 

Credits & Portfolio (Respecting Safety)
We may credit our team and show the work (stills/case studies/reel) after public release. If crediting or showcasing could endanger talent or violate confidentiality, tell us in writing; we honour embargoes and NDAs.
 

Indemnity
You agree to indemnify and hold harmless Starhopper from claims arising out of your unlawful use of the Site or breach of these Terms.
 

Cancellations, Reschedules & Force Majeure
See Refund & Cancellation Policy (incorporated here). Summary: you cover actual costs + work done; advances may be non-refundable once pre-production begins; unavoidable events (weather/strikes/illness) are treated as force majeure and we reschedule in good faith.
 

Conduct, Safety & Inclusion
All collaborators must follow our DEI & Conduct Policy (incorporated here). Breaches can lead to removal from set or termination.
 

Non-Solicitation (Optional)
During the project and 6 months thereafter, neither party will actively solicit key crew from the other for conflicting engagements (does not restrict general job postings).
 

Governing Law & Disputes
As per Terms of Service (Mumbai jurisdiction; arbitration).
